Terms of Service

Fisoma ("Fisoma", "we", "us", or "our") provides applications and related services for Shopify merchants. These Terms of Service ("Terms") govern your access to and use of our website, documentation, customer support channels, and Shopify applications, including UpForm and SEOEngine (collectively, the "Services").
By accessing our website or documentation, contacting us, installing a Fisoma application, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Acceptance of These Terms
These Terms form a binding agreement between you and Fisoma. If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
Your use of Shopify remains subject to Shopify's terms and policies. If these Terms conflict with Shopify's terms regarding Shopify's own platform functions, Shopify's terms control for those platform functions.
2. The Services
Fisoma provides:
- UpForm, a Shopify application for creating, publishing, and managing forms and related submissions, which may include AI-assisted functions
- SEOEngine, a Shopify application for SEO-related tools and features, which may include AI-assisted functions
- Our website, product documentation, and customer support related to the Services
We may add, change, or discontinue features of the Services over time. Unless we say otherwise, these Terms apply to all current and future Fisoma Services made available to you.
3. Shopify Platform
Our applications run on Shopify. Shopify independently manages merchant accounts, app installation and uninstallation, authentication to the store, subscription billing, payment processing, and related platform functions.
You must maintain a valid Shopify store and comply with Shopify's applicable terms, policies, and billing requirements. Fisoma is not responsible for Shopify platform outages, billing systems operated by Shopify, Shopify policy changes, or other issues that originate from Shopify.
4. Eligibility and Access
The Services are intended for Shopify merchants and authorized business users. You may use the Services only in accordance with these Terms and applicable law.
Fisoma does not require a separate account on our website for ordinary use of our Shopify applications. Access to an application is generally managed through your Shopify store and the Shopify App Store installation flow. Documentation and certain website materials may be available without signing in.
You are responsible for safeguarding Shopify account credentials, API keys, integration credentials, and any devices or systems used to access the Services, and for all activity that occurs under your store or credentials.
5. Billing and Refunds
Paid subscriptions for Fisoma applications are billed through Shopify's billing system. Fisoma does not collect subscription payments directly through this website.
Subscription fees, billing cycles, renewals, upgrades, downgrades, cancellations, and related payment mechanics are governed by Shopify's billing framework and the plan terms presented at purchase or in your Shopify admin. You can manage your subscription through Shopify where Shopify makes that available.
Refund requests are reviewed in light of Shopify's policies, applicable law, and the circumstances of the request. Where appropriate, Fisoma may issue a full or partial refund. Nothing in these Terms creates an absolute promise that every refund request will be granted, except where a refund is required by applicable law or by Shopify's applicable policies.
We may update pricing, plans, or paid features. Changes apply only as permitted by Shopify's billing rules and applicable law, and as communicated through the applicable purchase or subscription flow.
6. Merchant Content and License
You retain ownership of content, store data, form configurations, submissions, SEO settings, product and storefront content, and other materials that you or your end users submit to or process through the Services ("Merchant Content"). Fisoma does not claim ownership of Merchant Content.
You grant Fisoma a limited, worldwide, non-exclusive license to host, copy, process, transmit, display, and otherwise use Merchant Content solely as needed to operate, maintain, secure, improve, troubleshoot, and support the Services, and to comply with law. This license ends when Merchant Content is deleted from our systems in accordance with our data practices, except for limited copies retained where required by law or for legitimate security, fraud prevention, dispute resolution, or legal claims purposes.
If you voluntarily provide feedback, ideas, or suggestions about the Services, Fisoma may use that feedback without obligation or compensation to you. Feedback does not transfer ownership of your Merchant Content.
7. Merchant Responsibilities
You are solely responsible for:
- Ensuring that Merchant Content and your use of the Services are lawful and do not infringe the rights of others
- Providing any notices and obtaining any consents required for collecting, using, and sharing personal data through the Services, including from form submitters and store visitors
- Determining the purposes of processing end-user data and using that data in compliance with applicable privacy and consumer laws
- Configuring forms, integrations, SEO settings, and AI features appropriately for your store and audience
- Reviewing, verifying, and deciding whether to use any AI-generated, translated, or automated output before relying on it or publishing it
- Maintaining accurate store information and authorized user access
- Protecting credentials and promptly notifying us if you become aware of unauthorized access related to the Services
If you are a customer or visitor of a Shopify store that uses a Fisoma application, questions about that store's practices should generally be directed to the merchant.
8. UpForm
UpForm enables merchants to create, publish, and manage forms and to receive and manage submissions. Depending on your configuration, UpForm may process form structure, fields, design and publication settings, submission content and metadata, attachments when enabled, and settings for email, workflow, automation, CAPTCHA, and other integrations.
UpForm may use AI to translate forms and to generate forms, form structure, questions, labels, descriptions, or related content. When you use those features, you authorize Fisoma to process the information needed to provide them.
You decide which fields to include, why information is collected, and how submitted information is used. When you connect email providers, automation platforms, or other services, you authorize UpForm to exchange relevant data with those services as needed to perform the configured functions.
You remain responsible for the legality of collection notices, consent mechanisms, marketing communications, and any further use of submission data outside the Services.
9. SEOEngine
SEOEngine provides tools to analyze, manage, or improve search engine optimization for your Shopify store. Depending on the features you use, SEOEngine may process store domain and SEO configuration, product, collection, page, and blog content, titles, descriptions, URLs, structured data, redirects, sitemap and robots-related information, audit results, optimization settings, reports, and related application activity.
SEOEngine may include AI-assisted or automated features that generate suggestions, content, reports, or optimization assistance.
Fisoma does not guarantee specific SEO rankings, traffic, conversion, revenue, or other business results.
10. AI Features
UpForm and SEOEngine may include AI-assisted or automated features. Depending on the application and the features you use, this may include translating forms; generating forms, form structure, questions, labels, descriptions, or related content; and generating suggestions, content, reports, or optimization assistance.
AI-assisted and automated output is provided to help you make decisions and is not professional legal, financial, tax, marketing, or other advice. Generated or translated output may be inaccurate, incomplete, or unsuitable for your circumstances. You must review and approve any such output before publishing it, relying on it, or otherwise using it.
11. Third-Party Services
The Services may depend on or interoperate with third parties, including Shopify, AI providers, email providers, automation platforms, CAPTCHA providers, and other services that you choose to configure or enable.
Third parties operate under their own terms and privacy policies. Fisoma is not responsible for a third party's availability, security practices, pricing, policy changes, or independent processing of data. Enabling a merchant-configured integration is at your direction and risk, and you should review the third party's terms before connecting it.
12. Acceptable Use
You may use the Services only for lawful purposes and in a manner that does not harm Fisoma, other merchants, end users, or the integrity of the Services.
You must not:
- Copy, resell, sublicense, reverse engineer, or create derivative works from the Services except as expressly permitted by law or by us in writing
- Bypass, disable, or interfere with security, licensing, billing, or access controls
- Attempt unauthorized access to systems, accounts, data, or networks
- Use the Services to transmit malware, spam, or deceptive or abusive content
- Use the Services to collect or process data unlawfully, or without required notices or consents
- Interfere with or disrupt the Services, or impose an unreasonable load on our infrastructure
- Use automated means to scrape documentation or the Services in a way that impairs availability or violates these Terms
- Misrepresent your identity or affiliation, or use the Services for fraud or other unlawful activity
We may investigate suspected violations and take action we reasonably consider appropriate, including suspension or termination of access.
13. Suspension and Termination
You may stop using an application at any time by uninstalling it from your Shopify store through Shopify's standard uninstall process. Uninstallation ends your access to that application through Shopify.
We may suspend or terminate access to the Services if we reasonably believe you have violated these Terms, if continued access presents a security or legal risk, if required by law, or if necessary to protect Fisoma, other merchants, end users, or the Services.
Upon termination or uninstallation, your right to use the affected Services ends. Provisions that by their nature should survive, including ownership, licenses granted for residual copies retained as permitted in these Terms, disclaimers, limitations of liability, and general provisions, will survive.
Data handling after uninstallation or deletion requests is described in our Privacy Policy.
14. Privacy and Data Handling
Our collection, use, disclosure, retention, and protection of personal data are described in our Privacy Policy. The Privacy Policy forms part of your relationship with Fisoma regarding personal data.
For personal data that Fisoma collects and uses for its own purposes relating to the website, documentation, merchant relationships, application administration, and customer support, Fisoma acts as a data controller.
When a Shopify merchant uses our applications to process personal data on behalf of that merchant, the merchant generally acts as the data controller and Fisoma acts as a data processor. In that context, we process personal data according to the merchant's instructions, these Terms, and applicable law.
You are responsible for ensuring that your instructions and configurations are lawful. If you are an end user of a merchant's store, the merchant is normally your primary contact for privacy requests concerning data collected through that store.
15. Availability
We aim to keep the Services available and useful, but we do not guarantee uninterrupted, error-free, or fully compatible operation with every theme, app, browser, device, or third-party service. The Services may be unavailable or limited due to maintenance, updates, security measures, infrastructure issues, Shopify or third-party failures, or events beyond our reasonable control.
Features may change, be replaced, or be discontinued as the Services evolve. We are not obligated to maintain any particular feature indefinitely.
16. Intellectual Property, Disclaimers, and Limitation of Liability
Intellectual property
Fisoma and its licensors own all rights in the Services, including software, applications, designs, documentation, branding, trademarks, and other materials we make available, excluding Merchant Content. These Terms do not transfer ownership of Fisoma intellectual property to you.
Subject to these Terms and your applicable subscription, Fisoma grants you a limited, non-exclusive, non-transferable, revocable right to use the installed applications for your own Shopify store.
Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Fisoma does not warrant that the Services will meet your requirements, produce any particular business result, or be free of errors or security vulnerabilities.
Limitation of liability
To the fullest extent permitted by law, Fisoma will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or business interruption, arising out of or related to the Services or these Terms, regardless of the theory of liability and even if Fisoma has been advised of the possibility of such damages.
To the fullest extent permitted by law, Fisoma's total aggregate liability arising out of or related to the Services or these Terms will not exceed the fees actually paid by you to Fisoma for the affected application during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid fees for the affected application during that period, Fisoma's total aggregate liability will not exceed the amount required as a minimum by applicable law, if any such minimum applies.
Some jurisdictions do not allow certain limitations. In those cases, the limitations apply to the maximum extent permitted by law.
17. General Provisions, Changes, and Contact
Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. Fisoma may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or to an affiliate.
Independent parties
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Fisoma. Neither party has authority to bind the other.
Severability
If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Waiver
A failure or delay by Fisoma to enforce any provision of these Terms is not a waiver of that provision or of any other provision. Any waiver must be in writing to be effective.
Entire agreement
These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase through Shopify, constitute the entire agreement between you and Fisoma regarding the Services and supersede prior or contemporaneous understandings on that subject.
Changes to these Terms
We may update these Terms from time to time. The revised version will be published with a new effective date. Your continued use of the Services after the revised Terms become effective constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and uninstall the applicable applications.
